These Terms and Conditions ("Terms") govern your access to and use of the NutriCoach mobile application, website, and related services (the "Service") provided by NutriCoach, Inc.By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to access or use the Service. By using NutriCoach, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2. Medical Disclaimer

NutriCoach provides general educational and habit-based health tools. Content, features, and information available through the Service are intended for informational and educational purposes only.

The Service does not constitute, and is not intended to substitute for, professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions about a medical condition or dietary needs.

3. HIPAA Status

NutriCoach is not a covered entity under HIPAA. Health-related information you provide does not receive the statutory protections afforded to protected health information held by medical providers. Please review our Privacy Policy to understand how we handle health-related data.

4. User Obligations

By using the Service, you agree to:

Use the Service solely for personal, non-commercial purposes.
Provide accurate and complete information during registration and use.
Protect your account credentials and not share login details with others.
Refrain from uploading unlawful, harmful, or abusive content.
Not attempt to reverse engineer, decompile, or overburden the Service.

5. Billing & Subscriptions

Certain features require a paid subscription. By purchasing, you authorize recurring charges at the then-current rate.

Auto-Renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
Refund Policy: All payments are non-refundable except where required by applicable law.
Price Changes: We will provide advance notice of any pricing changes.

6. Cancellation

You may cancel your subscription anytime through the account settings in the app or via the relevant app store. Cancellation takes effect at the end of the current billing period.

Important: Deleting the app from your device does not automatically cancel your subscription. You must explicitly cancel to stop future charges.

7. Content Ownership & License

Your Content: You retain ownership of all content you submit. By submitting, you grant NutriCoach a worldwide, non-exclusive, royalty-free license to use your content solely for operating and improving the Service.

Our Content: All other Service content — brand, software, text, graphics — is owned by or licensed to NutriCoach and protected by applicable intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, NutriCoach shall not be liable for:

Indirect, incidental, or consequential damages from use of the Service.
Service interruptions, technical failures, or unauthorized account access.
Inaccuracies in nutritional data or health information provided.
Decisions made in reliance on Service content or recommendations.

Our total liability shall not exceed the amount you paid us in the preceding 12 months.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We expressly disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Dispute Resolution

Binding Arbitration: Disputes shall be resolved by binding individual arbitration. You waive the right to a jury trial and to participate in class action lawsuits.

Governing Law: These Terms are governed by the laws of the State of Delaware.

Class Action Waiver: All arbitration shall be conducted on an individual basis only.

11. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes via the app, website, or email. Continued use constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access for conduct that violates these Terms, is harmful to other users, or is unlawful. Upon termination, your license ends immediately.
